The Deal: Davis helped Miami-based Terremark Worldwide, a provider of IT infrastructure services, place $50 million in senior secured notes due in 2017. Terremark will pay a 12 percent interest on the notes, which are secured by corporate assets.
Details: The deal closed April 28 and followed a $420 million offering completed in June 2009. Davis said the transaction was largely trouble-free since the terms were the same as the larger 2009 transaction.
“Because they were the same series of notes, the terms didn’t change,” he said.
The offering was made to qualified institutional buyers and certain non-U.S. investors.
“The company had been looking at different financing options, and they determined this one was the best route to go,” Davis said. “We put out $50 million of notes, but we received a larger amount in proceeds, specifically about $56 million in gross proceeds.”
Terremark (Nasdaq: TMRK) plans to use the money for working capital and to build more facilities, including its third 50,000-square-foot, $45 million data center at its Capital Region campus in Culpeper County, Virginia, about 60 miles outside of Washington, D.C.
“The company is expanding at an impressive pace,” Davis said.
Terremark also owns the NAP of the Americas near downtown Miami where Internet traffic from Latin America switches to more than 148 countries across the world.
